Version No. 3 dated 13 October 2026.
Individual entrepreneur Andrey Viktorovich Svirin, TIN 772872317733, PSRNIP 322774600176722, hereinafter referred to as the "Contractor", hereby offers individuals, individual entrepreneurs, and legal entities, hereinafter referred to as the "Customer", to conclude a paid services agreement under the terms set out below. The offer is posted at the following Internet address: https://mediacia.moscow/legal/public-offer/
1. Terms and status of the document
1.1. Offer — a genuine document containing the general terms and conditions of the contract and addressed to an indefinite circle of persons within the meaning of paragraph 2 of Article 437 of the Civil Code of the Russian Federation.
1.2. An application is an appeal through the website, e-mail, telephone or in any other agreed way with a description of the dispute and the intended format of interaction. The application itself is not an acceptance of the Offer, does not oblige the Contractor to accept the order and does not replace the consent of the other party to the dispute for participation in negotiations or mediation.
1.3. Order-Invoice — a document generated by the Contractor in paper form, as an electronic document, or electronic message, defining the individual terms of a specific order: type of service, object, questions, materials, price, payment procedure, term, result format, and other features. The Order-Invoice becomes part of the contract after acceptance of the Offer.
1.4. Services - coordinated preparation and organization of negotiations, assistance in the settlement of a dispute with the participation of a neutral mediator and conducting a mediation procedure in the presence of a separate written agreement of the parties to the dispute provided for by law. The subject, the composition of actions, participants, terms, payment and the form of fixing the result are determined by individual conditions and agreements.
1.5. Service result — an agreed preparatory meeting or negotiation session, assistance with discussing settlement options, or another expressly agreed result. Reaching a mediated settlement agreement depends on the voluntary decision of the parties to the dispute and is not guaranteed by payment.
1.6. The object is the agreed subject of the dispute, documents and information necessary for the preparation and conduct of negotiations or mediation procedures specified in individual conditions.
1.7. Materials - documents, copies of case materials, correspondence, images, audio and video recordings, links and other information lawfully transferred by the Customer to carry out the order.
1.8. The Customer is an individual, an individual entrepreneur or a legal entity that has concluded a contract with the Contractor by accepting this Offer. The terms of the Offer apply to Customers regardless of their legal status, unless otherwise expressly provided for by mandatory norms of the legislation of the Russian Federation. If the legislation provides additional rights and guarantees to a particular category of Customers, the provisions of the Offer do not limit such rights and guarantees. The customer has the right to order a service in the interests of another person, if this is consistent with the law and the nature of the service. The recipient of the result is indicated separately; such an order does not in itself confirm the authority to represent or the consent of another person to process his data.
1.9. Payer - the Customer or a third party paying for a specific Order Invoice. The payment does not provide advantages in the procedure, the right to influence the neutrality of the intermediary or to receive confidential information from other participants. Participants and recipients of documents are determined by the agreements of the parties to the dispute and the requirements of the law.
1.10. Representative/defender — a lawyer, defender, representative of the Customer, or another authorized person who has the right, on behalf of the Customer, to transfer materials, formulate questions, and receive results within the confirmed authorities. Authorities are confirmed by a written notice from the Customer via an agreed communication channel, power of attorney, order, or other method provided by law, taking into account the nature of the specific action and the content of the corresponding document. The Contractor has the right to request confirmation of authority. The authority to transfer materials does not in itself constitute authority to modify the assignment, approve additional expenses, or receive results.
2. Conclusion of the contract and acceptance
2.1. Before creating an Order Invoice, the Contractor has the right to assess the sufficiency of the materials, the correspondence of the task to their competence, the absence of a conflict of interest, the possibility of meeting the deadline, and the availability of necessary conditions. Prior to acceptance, the Contractor has the right not to create the Order Invoice without explaining the reasons.
2.2. Full and unconditional acceptance of the Offer is the full or directly specified partial payment of the cost of services by the Customer or by a third party on behalf of the Customer at their request. When paid by a third party, the Customer's intention to conclude the contract and the attribution of the payment to a specific Order-Invoice must be confirmed by agreed correspondence, indication of the payment purpose, or other reliable information. The amount of the payment constituting acceptance of the Offer is determined in the Order-Invoice. In the case of partial payment, the amount paid is part of the total cost of services and is credited in the final settlement. The Order-Invoice must contain a reference to the Offer and the date of its edition. When using online payment, acceptance also consists of the Customer simultaneously marking their agreement with the Offer and making the payment provided for by the Order Invoice. The terms of this Offer can be accepted by the Customer only by joining them in full. Partial acceptance of the Offer, conditional acceptance, or acceptance with reservations is not allowed. Individual terms of a specific order are determined by the Order Invoice and are considered agreed upon simultaneously with the acceptance of the Offer.
2.3. The contract on separately agreed preparatory service is considered concluded after receipt of the payment provided for in the Order Invoice or confirmation of payment by the payment operator. To initiate the mediation procedure, the parties to the dispute conclude a separate written agreement on its conduct; the fact of payment does not replace such an agreement.
2.4. The terms of the paid preparatory service are determined by the Offer, the accepted invoice and agreed documents. The agreement on conducting the mediation procedure is drawn up separately in writing and contains information about the subject of the dispute, the mediator, the procedure for conducting, the participation of the parties in costs and terms. The exchange of electronic documents is permitted subject to the applicable writing requirements; paperwork is also possible.
2.5. The invoice contains individual terms of the paid service: the subject of the dispute, preparatory or organizational actions, necessary materials, form of the result, terms, cost, payment procedure and expenses. The terms of the mediation procedure itself and the distribution of costs between the parties are fixed in the agreement on its conduct.
2.6. The Contractor has the right to make amendments and additions to this Offer by publishing a new version at the address specified in this Offer. The new version applies only to agreements whose acceptance is made after the date of its publication and does not change the terms of previously concluded agreements. Separate notification of persons who have not accepted about the publication of the new version is not required. The version of the Offer specified in the corresponding Order Invoice applies to previously concluded agreements. Changes to the terms of an already concluded agreement are allowed by written agreement of the Parties, including through an additional agreement, a new Order Invoice, or the exchange of electronic messages that reliably establish the expression of intent of the Parties. The Contractor has the right to correct obvious typos, technical errors, and inaccuracies in the published text without separate notice, provided that such corrections do not change the subject, cost, deadlines, payment procedure, scope of the Parties' obligations, or other terms of previously concluded agreements. The Contractor maintains an archive of Offer versions and information on their periods of validity.
2.7. The order invoice can be provided to the Customer on paper in person, by mail, or through a delivery service, or sent to an agreed email address, including as a PDF file or text of an electronic message, via an electronic document management system, or another agreed channel. The method of provision is agreed upon by the Parties; electronic format is not mandatory. Prior to the payment, which constitutes acceptance, the Customer is provided with individual order terms and the applicable version of the Offer on paper or in electronic form, including via a link. Separate signing of the order invoice is not required unless otherwise explicitly provided in it or by law. The mere provision of the order invoice without the stipulated acceptance does not constitute the conclusion of a contract.
3. Subject and scope of services
3.1. The Contractor provides agreed services for the preparation of negotiations and assistance in resolving the dispute to the extent determined by individual conditions and agreements. The customer provides the necessary materials, observes the agreed order of interaction and pays for services. The participation of the other parties to the dispute shall be based on their voluntary consent.
3.2. The subject of the dispute, the composition of actions, participants, the list of materials, the order of meetings, the timing, cost, distribution of costs and the form of fixing the agreements reached are agreed separately. The limits of powers of the representative of the participant are confirmed in accordance with the established procedure.
3.3. New issues, additional meetings, participation of other persons and actions beyond the agreed scope are carried out after separate agreement of conditions with the necessary participants. The mediator does not accept for the parties a decision on the substance of the dispute and does not impose the terms of the settlement.
3.4. The agreements reached by the parties shall be formalized in an agreed written form, taking into account the applicable law. The need to apply to the court or notarization is determined by the nature of the agreement. The Contractor does not guarantee the achievement of an agreement or its acceptance by a third party.
3.5. Mediation is based on the voluntariness, confidentiality, cooperation and equality of parties, impartiality and independence of the mediator. The mediator does not act as a representative of one party against the other in this procedure; technical research, examination and other independent services are not automatically included in the subject matter of mediation.
4. Professional performance and scope of the assignment
4.1. The Contractor shall organize coordinated interaction within the limits of the law and agreements of the participants, maintaining neutrality and equal treatment of the parties. Instructions on exerting pressure, prejudgement of the outcome of the dispute or violation of the rights of another party shall not be executed.
4.2. Payment by one of the parties does not affect the independence of the intermediary. The Contractor shall inform about significant obstacles, conflict of interest, lack of necessary information and circumstances that may affect the possibility, term or procedure for conducting the procedure.
4.3. Failure by the parties to reach an agreement does not in itself prove inadequate provision of agreed services. Comments on the quality of the organization and conduct of paid actions are considered in essence with the preservation of the mandatory rights of the Customer.
4.4. Identified by the Contractor typos and obvious technical errors in the prepared document are corrected at no additional cost. Modification of the order and revision of the document in connection with new circumstances are agreed separately.
4.5. Information on the education, training and other grounds for carrying out the activities of a particular mediator is provided upon request in relation to the chosen procedure. Requirements for the mediator and representatives of participants are determined by the applicable law and the nature of the dispute; the Offer itself does not confirm the existence of special powers.
5. Rights and obligations of the Contractor
5.1. The contractor is obliged to act in good faith, comply with the agreed scope of the order, ensure the safety of the received documents and confidentiality of information, timely report on obstacles to work.
5.2. The Contractor has the right to request additional documents and explanations, and before receiving them to suspend work within the limits necessary for proper execution; the suspension is notified to the Customer.
5.3. The involvement of other intermediaries, assistants and specialists shall be agreed to the extent necessary with the participants. Access to information is allowed if there is a legal basis and confidentiality. The cost of additional services is agreed separately.
5.4. The executor has the right to propose a change in the order, if from the submitted information it follows that it is impossible to fulfill it within the agreed limits. The consequences of termination of the contract are determined by law and section 11 of the Offer.
5.5. Documents and information of one participant shall be transferred to another participant or a third party only if there is appropriate consent or other grounds established by law. Transfer of information in a separate meeting does not automatically mean permission to disclose it to another party.
6. Rights and Obligations of the Customer
6.1. The Customer provides the necessary and reliable information about the dispute and legally obtained materials, reports on the trial, procedural terms and circumstances affecting the admissibility and organization of negotiations or mediation.
6.2. The Customer ensures the legality of obtaining and transferring documents, information and data of third parties, informs about the restrictions on their use. If the documents are transferred by a representative, the Contractor has the right to request confirmation of his authority and legal basis for the transfer. The assurances of the Customer do not relieve the Contractor from his own obligations under the law.
6.3. The customer timely provides documents available to him, information on the progress of the case and documents of authority, if they are necessary for the execution of the order.
6.4. The Customer is obliged to promptly respond to the Contractor's requests, agree on additional expenses, accept the result, and make the payment.
6.5. The Customer may obtain progress information and submit reasoned comments on whether the service complies with the Order Invoice.
6.6. The Customer informs about the procedural terms known to him, restrictions on access to documents and the legal consequences of their late transfer. The parties agree on actions if it is impossible to fulfill the order within the prescribed period.
6.7. The Client or the person providing materials shall inform about known restrictions on their use and disclosure, including state, commercial, attorney, medical, and other legally protected secrets, preliminary investigation data, and special categories of personal data. Such materials are transferred only if there is a proper legal basis and the necessary conditions for the corresponding regime. The very fact of sending materials does not cancel the restrictions established by law.
7. Transfer of documents and materials
7.1. The parties agree on the list of originals and copies of documents, the method and date of transfer. When transferring the originals, an inventory, act, postal confirmation or other proof of the composition of the transferred materials is drawn up.
7.2. The Customer is responsible for the reliability of the circumstances reported by him and the legality of receiving and transferring documents and data of other persons. The Contractor uses them within the limits of the agreed order and the applicable law.
7.3. The customer informs about the availability of court and other procedural terms, the current status of the case, the documents already submitted and restrictions on the use of the transferred information.
7.4. The Contractor has the right to create working copies of documents necessary for the preparation of the result, exchange of messages and confirmation of execution. Copies shall be deleted or destroyed after the expiration of the applicable time limits, unless there is another legal basis.
7.5. The order of return of originals and carriers is indicated in the Order Invoice or agreed in correspondence. The customer shall provide the address and method of their receipt; the cost of delivery shall be determined by agreement of the Parties.
8. Cost and calculations
8.1. The cost, procedure, and terms of payment are specified in the Order Invoice. Unless otherwise stated, services are paid for under the terms of 100-percent prepayment.
8.2. The Order Invoice may provide for 100 percent prepayment or partial payment with subsequent payment of the remaining amount. The amount of the payment that constitutes acceptance of the Offer, the amount of the remaining cost, and the payment term are determined in the Invoice-order.
8.3. In the case of partial payment, the amount paid is fully credited towards the total cost of services and is not considered a separate payment for concluding the contract, a deposit, a penalty, or a fee.
8.4. The payment can be made by the Customer or by a third party on behalf of the Customer. When payment is made by a third party, the invoice number and date, information about the Customer, or other information allowing reliable identification of the paid order must be indicated in the payment purpose or in a message to the Contractor. The Customer's obligation to pay the corresponding payment is considered fulfilled in the paid part from the moment the funds are received in the Contractor's account or the payment is confirmed by the payment operator.
8.5. If the Order Invoice provides for subsequent payment, the Contractor sends a notice of readiness of the agreed result and calculation of the remaining part of the cost by the contacts specified by the Customer.
8.6. Delivery of the result after final payment applies only as permitted by law and the individual terms. The Customer retains statutory rights to information and to withdraw from the contract.
8.7. The value-added tax status is indicated in the Order-Invoice and in the settlement documents.
8.8. State duty, postal and travel expenses, the cost of measurements and services of the specialists involved are not included in the price of legal services, unless it is expressly indicated in the Invoice. The necessary additional costs are agreed in advance.
8.9. The contractor issues a cash receipt or another settlement document in cases and in the manner provided by law. When receiving advance payment, subsequently offsetting it, final settlement, refund of funds, and other settlements, cash receipts are generated with the corresponding settlement and payment method indicators in accordance with the requirements of the legislation of the Russian Federation. The cash receipt is sent to the email address or subscriber number provided by the Customer or transmitted in another manner stipulated by law.
8.10. Contractual penalty, fine or penalty for late payment by this Offer are not established. In case of late payment, the Contractor has the right to suspend the provision of services or the transfer of the result of the service until the amount provided for in the Order Invoice is received, having previously notified the Customer. The absence of a contractual penalty does not relieve the Customer from the obligation to pay for actually rendered services and agreed costs.
9. Term of service provision
9.1. The term of execution of the order is indicated in the Order Invoice. Unless otherwise provided, it begins to flow after receiving the agreed payment, necessary documents and authority to perform the relevant actions.
9.2. If it is impossible to continue work without documents, answers of the court or body, access to the case or actions of the Customer, the Contractor notifies him of the obstacle and agrees on the further procedure and term.
9.3. If the volume of the order has significantly increased or additional actions are required, the Contractor proposes a change in the terms and price. Without approval, the initial volume is carried out within the possible limits.
9.4. The Contractor notifies the Customer of the delay and the expected new completion date through the agreed communication channel.
10. Delivery of the result and acceptance of services
10.1. The result can be provided to the Customer electronically at the agreed address or on paper. By agreement of the Parties, the act of rendered services is sent by e-mail or transmitted on paper.
10.2. The customer has the right within five working days after receiving the result and the act to send reasoned comments. The contractor considers them on the merits and eliminates reasonable shortcomings within the scope of the task.
10.3. A lack of comments within that period may confirm acceptance of the agreed scope of services. This does not deprive the Customer of rights that a contract cannot limit, including rights arising when hidden defects are discovered.
10.4. Legally significant messages are sent to the addresses and channels agreed by the Parties, taking into account Article 165.1 of the Civil Code of the Russian Federation. Electronic copies and correspondence may confirm the content of agreements within the limits of applicable law.
11. Termination of the contract and impossibility of performance
11.1. The Customer has the right to refuse to perform the contract at any time before the full provision of services by sending a notice to the Contractor at the address zapros@mediacia.moscow or to the postal address of the Contractor. In case of refusal, the Customer reimburses only the documented expenses actually incurred by the Contractor in connection with the execution of a specific Invoice-order until the notice of refusal is received. No penalty or other separate fee for withdrawing from the contract is charged. The unused portion of a previously paid amount is refunded to the Customer after determining the amount of expenses actually incurred. If the expenses actually incurred exceed the amount of the payment received, the Customer pays the corresponding difference based on the calculation and supporting documents sent by the Contractor.
11.2. The actual costs incurred are confirmed by the documents relating to the specific order, including the agreed rental of a meeting room, the services of specialists involved, the sending of materials and other necessary costs. The distribution of costs between the parties to the dispute is determined by their agreement. Breaking down the price into stages does not in itself establish a penalty or a non-refundable amount.
11.3. If performance has become impossible due to circumstances dependent on the Customer, the consequences are determined by the legislation of the Russian Federation, taking into account the scope of actions actually performed and expenses incurred by the Contractor. If performance has become impossible due to circumstances for which neither Party is responsible, the Customer shall reimburse documented expenses actually incurred, unless otherwise provided by the mandatory provisions of the legislation of the Russian Federation.
11.4. The Contractor has the right to refuse performance only in cases and with consequences permitted by law, including the return of the unused portion of the payment and reimbursement of the Customer's losses when such an obligation is established.
11.5. If it is impossible to fulfill the order, the Contractor sends a reasoned notification and calculation of the actually executed part and confirmed expenses. By agreement, the result prepared for this moment can be transferred; further calculation is made in accordance with the law.
12. Confidentiality and Personal Data
12.1. The Contractor maintains the confidentiality of the information received, taking into account the special mediation regime and agreements of the participants. Transfer is allowed only if there is a proper basis and in an acceptable amount. Information received from one party is not disclosed to the other party without the consent of the person who provided them, unless otherwise provided by law; payment or general acceptance of the Offer does not in itself replace such consent.
12.2. The use of the name, trade name or trademark of the Customer, information about the case, documents and the content of the result in advertising, portfolio or publications is allowed with the separate consent of the relevant person or other legal basis. The consent of the Customer does not in itself allow the disclosure of data of other persons.
12.3. Personal data is processed to the extent necessary for receiving the Application, concluding and executing the contract, calculations, analyzing documents, preparing and transmitting the result, creating the necessary working copies and considering appeals. Detailed conditions are set out in the Personal Data Processing Policy on the Site.
12.4. Do not send special categories of personal data and restricted access information that are not necessary for the agreed service. If such information is objectively necessary, before its transfer, the Parties determine the applicable legal basis, permissible scope, and protective measures. Ordinary acceptance of the Offer is not sufficient to replace special consent, permission, or other procedure required by law. In the absence of a proper basis, the information is not used for providing the service; the Contractor ensures access restriction and its deletion in the manner provided by law.
12.5. When working with materials of a criminal case, the applicable requirements of Article 161 of the Criminal Procedure Code of the Russian Federation are observed. If the provision of information to a specialist is permitted on the condition of their written obligation of non-disclosure, such an obligation is executed separately prior to the corresponding transfer; acceptance of the Offer does not replace it. Proper warning about the inadmissibility of disclosure and the permissions provided by law are taken into account when using materials and transferring the result.
12.6. The duty to maintain confidentiality applies even after the execution or termination of the agreement within the limits established by law and agreed upon by the Parties. The return or deletion of materials does not allow the disclosure of previously obtained confidential information.
13. Responsibility
13.1. The Parties bear responsibility in accordance with the law and the agreement.
13.2. The Contractor is not responsible for the consequences of inaccurate, incomplete or untimely information transmitted by the Customer, missed deadlines before taking the order, independent actions of the Customer contrary to the agreed position and the decision of third parties.
13.3. The Contractor does not guarantee a specific judicial, administrative, insurance, commercial, or other result.
13.4. The terms of this Offer do not apply to the extent that they limit the rights of the Customer provided to them by the mandatory provisions of the legislation of the Russian Federation. Providing identical or more favorable contractual terms to all Customers does not change the legal status of the Parties as determined by law.
13.5. A Party is released from liability for breach due to extraordinary and unavoidable circumstances if it timely notifies the other Party and confirms their impact on performance.
14. Exchange of messages, claims, and disputes
14.1. The Parties shall have the right to exchange documents on paper in person, by mail, or through a delivery service, and also, by agreement, documents and messages via email, through a messenger, an electronic document management system, and other channels that allow identifying the sender and the content. The method of exchange shall be agreed upon by the Parties; electronic exchange is not mandatory.
14.2. General and contractual communications should be sent to the address zapros@mediacia.moscow; notifications of contract termination — to the address zapros@mediacia.moscow; requests for refunds — to the address vozvrat@mediacia.moscow; claims — to the address pretenziya@mediacia.moscow; inquiries regarding personal data processing — to the address privacy@mediacia.moscow. The Contractor's mailing address: 117647, Moscow, P.O. Box 15.
14.3. The claim must contain information that allows identifying the Customer and the corresponding Order Invoice, a description of the circumstances, a formulated demand, and supporting materials. The Contractor considers the claim within the period established by the legislation of the Russian Federation. If the mandatory period is not established by law, a response is sent within 15 working days from the date of receipt of the claim.
14.4. The parties strive to resolve arising disagreements through negotiations and the exchange of written communications. If it is impossible to resolve the dispute through negotiations, it is referred to the court in accordance with the rules of jurisdiction and venue established by the legislation of the Russian Federation. This Offer does not restrict the Customer's right to choose a court in cases where such a right is granted to them by law.
14.5. Invalidity of a particular provision does not entail the invalidity of the remaining provisions.
14.6. Email addresses and other channels for contractual communication are indicated in the Order Invoice or in agreed correspondence that allows the Parties to be reliably identified. The Order Invoice, materials, results, Acts, comments, notifications, and approvals can be sent through them. In case of doubt about the sender or their authority, the Contractor has the right to request confirmation. Any change of contact address or recipient of the result must be confirmed by the Customer through the previously agreed channel or by another reliable method.
14.7. The Parties may exchange scanned copies of signed documents for contractual interaction and to confirm the content of correspondence, unless a different form is required by law. A scanned copy is not automatically considered an electronic original with a qualified electronic signature. Signing an electronic document with a simple or non-qualified electronic signature is allowed if there is a procedure provided by law or separately agreed upon by the Parties that allows identifying the signing person. If necessary, the Parties will agree on exchanging paper originals or using an electronic document management system. The mere fact of sending a document does not replace the recipient's consent or signature.
15. Features of the agreed service
15.1. The documents prepared for the Customer can be used by him for the purposes of the relevant order. Methods, templates, structure of internal materials and general developments of the Contractor are not transferred to exclusive use, unless the parties have expressly agreed otherwise.
15.2. The placement of materials of the Contractor in open access or their resale is allowed only with the written consent of the Contractor, unless disclosure is necessary for a court or state body.
15.3. Payment is made in a non-cash manner: by bank transfer, bank card, through the Quick Payment System or otherwise available on the payment page of Robokassa and agreed by the parties.
15.4. The payment link is sent to the Customer after approval of the Order. Available payment methods are determined by the payment service settings and displayed immediately before payment.
